End User License Agreement

This End User License Agreement ("EULA") is a binding contract between you and WebTechPro. By creating an account or clicking "I agree", you accept this EULA. If you do not agree, do not use the service. We recommend having an attorney review before relying on it as your sole agreement.

1. Definitions

  • "Service" means the WebTechPro web application, APIs and related software hosted at payment.webtechpro.com and any successor domain.
  • "You" or "Merchant" means the individual or business that holds the WebTechPro account.
  • "Accounting Platforms" means QuickBooks Online (operated by Intuit Inc.) and Xero (operated by Xero Limited).
  • "Stripe" means Stripe, Inc. and its affiliates.
  • "Customer Data" means data about your invoiced customers that we read from the Accounting Platforms on your behalf.

2. License grant

Subject to your compliance with this EULA, WebTechPro grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purpose of collecting payments against your own invoices. No source code, trademarks, or any other intellectual property are transferred.

3. Restrictions

You will not, and will not permit any third party to:

  • Copy, modify, reverse engineer, decompile, disassemble or create derivative works of the Service except where this restriction is prohibited by applicable law.
  • Resell, sublicense, rent, lease, or otherwise commercially exploit the Service.
  • Use the Service to process payments for goods or services prohibited by Stripe, by Visa/Mastercard rules, or by applicable law (including adult content, gambling, controlled substances or sanctioned jurisdictions, except where you hold the relevant licenses and Stripe has explicitly approved you).
  • Submit invoices for collection that you do not have a present legal right to collect.
  • Attempt to circumvent rate limits, security controls or quotas.
  • Use any automated agent (other than our own API) to interact with the Service in a manner that materially exceeds the load a human user would generate.

4. Your accounts at Xero, QuickBooks Online and Stripe

The Service operates by connecting to your existing accounts at the Accounting Platforms and at Stripe via OAuth. You acknowledge that:

  • You must hold valid, active accounts with the relevant providers and comply with their terms — including the Xero Terms of Use, the Intuit Terms of Service and the Stripe Connected Account Agreement.
  • Funds collected through the Service settle directly into your own Stripe account. WebTechPro is never the merchant of record and never takes custody of your funds.
  • You authorise WebTechPro to (a) read invoices, contacts and balances from your Accounting Platform under the OAuth scopes granted, (b) create hosted payment links and PaymentIntents / SetupIntents on your Stripe account, and (c) record corresponding payments back to the originating invoice in your Accounting Platform.
  • You can revoke our access at any time on the Connections page or directly inside Xero, QuickBooks Online or Stripe. Revocation does not refund fees already incurred.
  • WebTechPro is not responsible for fees, limits, holds, freezes, chargebacks, currency conversion, outages or data inaccuracies caused by Xero, Intuit or Stripe.

5. Customer Data

Customer Data belongs to you. We process it solely on your documented instructions to provide the Service, in accordance with our Privacy Policy. We will not sell Customer Data, will not use it for advertising or AI training, and will delete operational copies on termination. WebTechPro does not undertake to retain invoice, payment or accounting records for any defined period — your Xero or QuickBooks Online organisation is the authoritative long-term record.

6. Fees and trial

The Service is offered with a 30-day free trial. After the trial, continued use requires an active subscription at the prices shown on the Billing page. Stripe processing fees are charged separately by Stripe. WebTechPro fees are non-refundable except where required by law. We may change pricing on 30 days' notice; price increases will not apply to the remainder of any paid period you have already purchased.

7. Updates

We may release updates, patches and new features automatically. Some updates may modify or remove functionality. We will give reasonable notice of material removals affecting paying merchants.

8. Intellectual property

The Service, including all software, designs, logos and documentation, is owned by WebTechPro and protected by copyright, trademark and other laws. The names "WebTechPro", "Xero", "QuickBooks Online" and "Stripe" are trademarks of their respective owners and are used here only to identify the relevant services.

9. Feedback

If you send us feedback, suggestions or improvement requests, you grant WebTechPro a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate them into the Service without obligation.

10. Warranties and disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBTECHPRO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR THAT INVOICE IMPORTS, PAYMENT CONFIRMATIONS OR ACCOUNTING-PLATFORM RECONCILIATIONS WILL BE FREE FROM DELAY OR ERROR CAUSED BY XERO, INTUIT, STRIPE OR YOUR NETWORK.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBTECHPRO AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR SPECIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS EULA OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO WEBTECHPRO IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will defend, indemnify and hold harmless WebTechPro and its affiliates, officers and employees from and against any third-party claim arising out of (a) your use of the Service in breach of this EULA, (b) your invoices, goods or services, or (c) your breach of your agreements with Xero, Intuit or Stripe.

13. Termination

You may terminate at any time by disconnecting Xero, QuickBooks Online and Stripe and emailing us to delete your account. We may suspend or terminate your account immediately for breach of this EULA, non-payment, or if required by Stripe, Xero, Intuit, law enforcement or applicable law. Upon termination the license in Section 2 ends and you must stop using the Service. Sections 5 through 12 and 14 through 16 survive termination.

14. Governing law and disputes

This EULA is governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved exclusively in the state or federal courts located in Delaware, and each party consents to personal jurisdiction there. The UN Convention on Contracts for the International Sale of Goods does not apply. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

15. Changes to this EULA

We may update this EULA. Material changes will be posted in-app and/or sent to your account email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated EULA.

16. Miscellaneous

This EULA, together with our Terms of Service and Privacy Policy, is the entire agreement between you and WebTechPro regarding the Service. If any provision is held unenforceable, the rest remains in force. No waiver is implied from a failure to enforce. You may not assign this EULA without our written consent; we may assign it to an affiliate or in connection with a merger or sale.
